Hello, I am an American Expat living in France and starting a small company with a Polish cofounder who lives outside of France. Because of onerous IRS forms for Americans who own more than 10% of a foreign company, I was advised to make my co-founder the owner of the company and I will be an independent contractor. I was then advised to write a separate cofounder's agreement that governs shares and decision-making and leave it at that.
