Help on a long term contract document

I am looking for advice on following. The advise need to be given as an document. Before getting the contract you can ask me any Qs that you may have. 1 I have a website which uses dotnet technology. 2 I want a software coder to look after it on a long term basis. All assignments will be handed over via RAC. All assignements will be defined very well and accepted by the coder via RAC. 3 I have to ensure that the code is safe while working with the chosen coder. 4 I have to ensure that the coder does not create or also work with a competitor 5 I have to ensure that my IPR is protected. 6 The coder needs to respond to any bug on an minimum time to respond basis. 7 I will provide the roadmap and coder needs to time line it and them the coder needs to create new features on a fortnightly basis. I want a document created that can be used as a contract which helps me chieve the above. If you have worked under similar conditions, as a coder or bidder, you can bid for it. I am willing to provide a bonus of USD 50 in case you can provide me advise / suggestion which will help me achieve above and more. ## Deliverables 1) Complete and fully-functional working program(s) in executable form as well as complete source code of all work done. 2) Deliverables must be in ready-to-run condition, as follows (depending on the nature of the deliverables): a) For web sites or other server-side deliverables intended to only ever exist in one place in the Buyer's environment--Deliverables must be installed by the Seller in ready-to-run condition in the Buyer's environment. b) For all others including desktop software or software the buyer intends to distribute: A software installation package that will install the software in ready-to-run condition on the platform(s) specified in this bid request. 3) All deliverables will be considered "work made for hire" under U.S. Copyright law. Buyer will receive exclusive and complete copyrights to all work purchased. (No GPL, GNU, 3rd party components, etc. unless all copyright ramifications are explained AND AGREED TO by the buyer on the site per the coder's Seller Legal Agreement). ## Platform aspx
