Licencing agreement for licence holders. Installation of manufacturers product by licencees

We are seeking a qualified member of the NSW Law Society in Australia to produce a licence agreement for our business. Our business manufactures hardware products and we would like to engage licence holders to run their own business by installing our products. We would arrange for these businesses to agree to the licence agreement prior to any work being undertaken. The main points that the agreement must cover are: Exclusivity: The licence holder must install our products only, no other manufacturers product Liability: Except for product faults and warranty claims, the licence holder retains liability of work completed. Ownership of customers: The customers are owned by parent company, ie should the licence agreement cease, the customer is still owned by us. The licence holder cannot poach the customer Legal responsibility: The licence holder agrees to carry on their own business without legal responsibility of employment obligations for their own employers falling on the parent company. ie manufacturer is not responsible for tax liabilities, etc. If you are NOT a member of the NSW law society, please do not apply.
